Terms of service
These terms govern use of smithworks, a scheduling and invoicing service operated by Ecommerce Maven LLC. By creating an account or using smithworks, you agree to these terms.
Eligibility and account responsibility
You must be at least 18, able to enter a binding agreement, and using smithworks for lawful business purposes. You are responsible for accurate account information, safeguarding credentials, and activity performed through your account. Notify us promptly if you believe the account has been compromised.
What smithworks provides
smithworks helps businesses record customers, quotes, appointments, jobs, invoices, and payments. Route, availability, and arrival estimates are planning aids and are not guarantees. smithworks does not perform locksmith work, verify a customer's authority to request entry or key service, set prices or tax obligations, or provide legal, tax, or accounting advice.
The first release is a pilot. Features may change as the service is tested, but we will not materially reduce a paid service without the notice or remedies required by applicable law.
Business data and permissions
You retain ownership of information you submit. You grant Ecommerce Maven LLC a limited right to host, copy, transmit, and process that information only as needed to provide, secure, support, and improve smithworks or comply with law. You represent that you have the rights and permissions needed to enter customer and job information and direct related communications.
You are responsible for maintaining records required by your business and exporting anything you need before deletion. smithworks is not a records-retention, tax-filing, or accounting service.
Payments, invoices, and communications
A payment recorded in smithworks is a record supplied by the user. It is not proof that funds cleared, and smithworks does not process customer card or bank payments in the current release. You are responsible for invoice accuracy, taxes, receipt content, customer consent, recipients, and compliance with laws that apply to business communications.
Acceptable use
You may not:
- Use smithworks to facilitate unlawful access to property or vehicles.
- Access or attempt to access another business's data or account.
- Submit unlawful, deceptive, infringing, malicious, or harmful content.
- Interfere with the service, bypass limits, or probe for vulnerabilities.
- Reverse engineer or copy protected portions of smithworks except where applicable law expressly allows it.
Third-party services
smithworks relies on services including Google, Supabase, Resend, and Expo. Optional integrations are enabled only at the user's direction. Third-party availability, policies, and account terms may affect related features, and we are not responsible for services we do not control.
Free pilot and future paid plans
The current Android pilot is free and does not include an in-app purchase or subscription. If paid plans are introduced, the price, billing period, renewal, cancellation method, and included features will be shown before a user agrees to purchase. These terms do not authorize us to charge a payment method without that separate agreement.
Availability and changes
We work to keep smithworks dependable, but uninterrupted or error-free operation is not guaranteed. We may maintain, modify, or discontinue features and may suspend access when reasonably necessary to protect users, the service, or third parties or to comply with law.
smithworks ownership
Ecommerce Maven LLC and its licensors own smithworks, including its software, design, trademarks, and documentation, excluding business data supplied by users. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business operations.
Disclaimers and limitation of liability
To the extent allowed by law, smithworks is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Nothing in these terms excludes a warranty or right that cannot legally be excluded.
To the extent allowed by law, Ecommerce Maven LLC will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Our total liability arising from smithworks will not exceed the greater of $100 or the amount you paid for smithworks during the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits them.
Ending use and account deletion
You may stop using smithworks at any time and may delete your account as described on the account deletion page. We may restrict or end access for a material violation of these terms, a security threat, prolonged nonpayment under a future paid plan, or a legal requirement. Sections that by their nature should continue after termination will survive.
Governing law and disputes
These terms are governed by New York law, without regard to its conflict-of-law rules, except where applicable law requires otherwise. State and federal courts located in New York will have jurisdiction over disputes that are not required by law to be heard elsewhere.
Changes and general terms
We may update these terms. Material changes will receive reasonable notice, and continued use after the effective date means the updated terms apply. If one provision is unenforceable, the remaining provisions remain effective. These terms and the privacy policy form the agreement between you and Ecommerce Maven LLC concerning smithworks.
